Dialog
Telekom PLC (Dialog), a Board of Investment of Sri Lanka
approved company with flagship status providing services
in the mobile telecommunication and media sectors. Dialog
is a group company of Telekom Malaysia (TM).
NDBIB,
commencing from year 2004 has been involved as the Financial
Advisor to advice and guide Dialog with regard to the
capital structure of the company and the overall funding
requirements of Dialog to finance the Dialog Group's
3 year (2005-2007) composite capital expenditure needs
amounting to over SLR 50 Billion.
NDBIB
fulfilled its fund raising obligation in three phases
via an Initial Public Offer (2005), Preference Share
issuance (2007) and Rights Issue of Ordinary shares
(2007), which amounted to SLR 8.6 Billion, SLR 5.0 Billion
and SLR 15.5 Billion respectively.

Balance Sheet of Dialog was not properly organized
and consisted of various types of funding sources
and funding mismatches.
